St. Louis, MO - April 1, 2008 - Potter Electric Signal Company LLC., who is owned by a private equity group formed by Two Rivers Associates of St. Louis, Missouri, announced today that its subsidiary, Potter UK Holdings Ltd., acquired Elmdene Internationa Ltd. of Portsmouth UK on March 28, 2008. Tony and Celia Earl and a group of minority shareholders were the previous ownders of Elmdene International Ltd.

Bernie Lears, Persident and CEO of Potter Electric, commented: "This acquisition stregthens Potter's position in the fire and security markets through a broadeded product line, increased internationalreach and enhanced production and sourcing capabilities. Elmdene also brings a talended senior management team that has grown Elmdene to a leading position in the industry."

Elmdene specializes in the design and production of sophisticated fire and security detection products such as magnetic contacts, shock and vibration sensors, internal and external sounders as well as a fully comprehensive lineof dedicated power supplies utilized in fire detection, CCTV, intruder alarm and access control applications. Elmdene distributes product throughout Europe and the Middle East.

Mr. Earl will continue as Chairman and Board of Elmdene International. Mr. Sean Heskett of Potter Electric will serve as President of Potter Europe and Manageing Director of Elmdene International.
